By accessing or using Rithm, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Software.

2. Description of Service

Rithm is a task management application designed for developers that integrates with AI coding assistants. The Software allows you to:

  • Create and manage development tasks
  • Connect to AI providers (Claude, Codex, Gemini) using your own API keys
  • Work with terminal sessions alongside your tasks
  • Organize projects and track progress

The Software is provided free of charge. You are responsible for any costs associated with third-party AI API usage.

3. User Responsibilities

When using Rithm, you agree to:

  • Provide your own API keys: You must obtain and manage your own API keys from AI providers. You are responsible for compliance with each provider's terms of service.
  • Secure your credentials: Keep your API keys and any sensitive information secure. We are not responsible for unauthorized use of your API keys.
  • Use the Software lawfully: Do not use Rithm for any illegal purpose or in violation of any applicable laws or regulations.
  • Respect third-party rights: Do not use the Software to infringe on intellectual property rights or violate the rights of others.

4. Third-Party Services

Rithm integrates with third-party AI services. Your use of these services is subject to their respective terms:

We are not responsible for the availability, accuracy, or content of third-party services. API costs are billed directly by each provider to your account.

5. Intellectual Property

The Rithm Software, including its design, code, and branding, is protected by intellectual property laws. You may not:

  • Copy, modify, or distribute the Software except as expressly permitted
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any proprietary notices or labels
  • Use our trademarks without prior written permission

Your content (tasks, projects, code) remains yours. We claim no ownership over content you create using the Software.

6. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we handle your information. In summary:

  • Your data is stored locally on your device
  • We do not have access to your API keys or content
  • We use privacy-focused analytics (Aptabase) for basic usage statistics

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the Software will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of AI-generated content

AI-generated code and suggestions should be reviewed carefully. You are responsible for testing and validating any code before use in production.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RITHM OR ITS DEVELOPERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Damages resulting from your use of third-party AI services
  • Damages arising from AI-generated content or suggestions
  • Interruption of service or loss of data

Our total liability for any claims arising from your use of the Software shall not exceed the amount you paid for the Software (which is $0 for the free version).

9. Indemnification

You agree to indemnify and hold harmless Rithm and its developers from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Software
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use of third-party AI services

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the Software or our website. Your continued use of the Software after changes become effective constitutes acceptance of the revised Terms.

11. Termination

You may stop using Rithm at any time by uninstalling the Software. We reserve the right to terminate or suspend access to the Software for violations of these Terms or for any other reason at our discretion.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
